On November 14, 2025, the Management Board of Nagarro SE has resolved to make use of the authorization pursuant to Sec. 71 para. 1 no. 8 of the German Stock Corporation Act (Aktiengesetz, AktG) to repurchase shares of the Company, which was granted by the shareholders’ meeting of June 30, 2025.

In aggregate, up to 450,000 shares of Nagarro SE shall be repurchased as part of a share buyback program, corresponding to a portion of the current nominal share capital of approximately 3.48% of the current nominal share capital of the Company of EUR 12,922,297.00, subject to an overall purchase volume limit of EUR 20 million (excluding ancillary costs of purchase). The share buyback will be carried out in the time period from November 24, 2025 until at the latest February 28, 2026.

Nagarro SE announced the terms of this share buyback program on November 21, 2025, in accordance with art. 5 para. 1 lit. a) of the Regulation (EU) no. 596/2014 and art. 2 para. 1 of the Commission Delegated Regulation (EU) no. 2016/1052.

Share Buyback 2025 (I)

On February 5, 2025, the Management Board of Nagarro SE has resolved to make use of the authorization pursuant to Sec. 71 para. 1 no. 8 of the German Stock Corporation Act (Aktiengesetz, AktG) to repurchase shares of the Company, which was granted by the shareholders’ meeting of October 30, 2020.

In aggregate, up to 684,384 shares of Nagarro SE shall be repurchased as part of a share buyback program, corresponding to a portion of the current nominal share capital of approximately 4.97%, subject to an overall purchase volume limit of EUR 70 million (excluding ancillary costs of purchase). The share buyback will be carried out in the time period from February 6, 2025 until September 19, 2025.

Nagarro SE announced the terms of this share buyback program on February 6, 2025, in accordance with art. 5 para. 1 lit. a) of the Regulation (EU) no. 596/2014 and art. 2 para. 1 of the Commission Delegated Regulation (EU) no. 2016/1052.
